Wholesale and Order Policies

Quotations

All quotations are based on the information provided by the buyer, including product specifications, quantity, design, packaging, shipping destination and delivery requirements.

A quotation may be revised if product specifications change, order quantity changes, packaging requirements change, raw material costs change, shipping costs change, currency conditions change or the quotation validity period expires.

Only the final quotation, proforma invoice or sales agreement approved by both parties will be considered the confirmed commercial basis of an order.

Samples

Existing and customized samples may be available.

Sample charges may include product cost, design or setup fee, mold or tooling fee, packaging cost, shipping cost and transaction fee. Sample fees are generally non-refundable unless otherwise stated in writing.

The buyer is responsible for confirming the sample before bulk production. Approval may be provided through email, signed documents, approved images or another agreed method.

Custom Designs

The buyer must provide clear and complete requirements for custom products. These may include design files, reference images, color references, nail shape, nail length, size requirements, decoration requirements, logo files, packaging specifications and label information.

Production differences may occur because of materials, screens, lighting, handmade processes and manufacturing tolerances. Reasonable production tolerances should not automatically be considered defects.

Design Approval

Bulk production begins only after the required design, sample, specifications and payment have been confirmed.

The buyer is responsible for checking spelling, logo placement, colors, product dimensions, artwork, barcode information, packaging text, legal warnings, country-of-origin requirements and import requirements.

DEDXC is not responsible for errors approved by the buyer before production.

Minimum Order Quantity

MOQ varies by product, design, packaging and production process. Different colors, shapes, sizes or packaging versions may be treated as separate SKUs and may require separate minimum quantities.

Lower quantities may be available for selected standard or ready-to-ship products.

Payment

Payment terms will be shown on the quotation, proforma invoice or order agreement. Orders are not considered confirmed until the required payment has been received.

The buyer is responsible for bank charges, payment processing fees and other transaction costs unless otherwise agreed. Delayed payment may result in delayed production, revised delivery dates, storage charges, order cancellation or recalculated pricing.

Production Time

Production schedules are estimates, not guaranteed delivery dates. Lead time begins after all required conditions have been completed, including payment received, sample approved, artwork approved, packaging approved, product specifications confirmed and shipping details confirmed.

Changes requested after approval may increase the production time and cost.

Order Changes and Cancellation

Changes or cancellations must be requested in writing.

Once materials have been purchased, artwork has been prepared, packaging has been printed or production has started, the order may not be cancelled or fully refunded.

Any approved change may require additional fees, revised MOQ, new sample confirmation, extended production time or an updated quotation.

Product Quality

Products will be manufactured according to the approved sample, order specifications or agreed quality standard.

Minor differences in color, placement, texture, dimensions or handmade decoration may occur between production batches. These differences are not considered defects when they remain within reasonable manufacturing tolerances.

Inspection

The buyer may request photos, videos, third-party inspection or other inspection arrangements before shipment. Third-party inspection costs are normally paid by the buyer unless otherwise agreed.

If no inspection is requested, DEDXC will conduct standard internal quality checks before shipment.

Packaging

Products will be packed according to the confirmed packaging specifications.

The buyer is responsible for approving logo, artwork, packaging structure, label content, barcode, product warnings, instructions and regulatory wording.

DEDXC does not provide legal certification of packaging claims unless specifically agreed in writing.

Shipping

Shipping methods may include express, air freight, sea freight or delivery to the buyer's freight forwarder.

Shipping costs are calculated according to shipment weight, carton dimensions, destination, shipping method, delivery speed, customs requirements and carrier surcharges.

Delivery times provided by carriers are estimates. DEDXC is not responsible for delays caused by customs, carriers, weather, strikes, public holidays, inspections or other events outside reasonable control.

Customs, Duties and Taxes

The buyer is responsible for confirming import requirements in the destination country.

Unless otherwise agreed, the buyer is responsible for import duties, customs clearance, sales tax, VAT, local handling fees, import licenses, product registration and destination-country compliance.

The buyer should consult a local customs agent or compliance professional when necessary.

Risk and Delivery

Risk transfers according to the shipping terms stated in the quotation, invoice or sales agreement.

The buyer should inspect the outer cartons when receiving the shipment and report visible shipping damage to the carrier immediately.

Shipping cartons, labels and damaged packaging should be retained until the claim has been resolved.

Claims

Claims concerning quantity, damage, manufacturing defects or incorrect products must be submitted within the claim period stated in the order agreement.

A claim should include the order number, SKU, quantity affected, clear photographs, videos when available, carton photographs, shipping label photographs and a detailed description.

Products must not be discarded, altered, used or returned before receiving written instructions. DEDXC will review the evidence and may offer replacement, repair, credit, partial refund or another mutually agreed solution.

Returns

Wholesale, customized, private-label and made-to-order products are generally not returnable for change of mind, slow sales, incorrect market selection or buyer-approved design choices.

Returns require prior written authorization. Unauthorized returns may be refused.

Return shipping and related costs are the buyer's responsibility unless the return results from a confirmed manufacturing error attributable to DEDXC.

Intellectual Property

The buyer confirms that all submitted logos, artwork, images, trademarks and designs are legally owned or authorized for use.

The buyer is responsible for claims arising from unauthorized materials supplied to DEDXC. DEDXC may refuse projects that appear to infringe third-party intellectual property rights.

Design ownership and exclusivity must be agreed in writing. Payment for manufacturing does not automatically grant exclusivity over standard products, common shapes, production methods or factory-developed designs.

Confidentiality

Project information will be handled with reasonable care.

A separate confidentiality or non-disclosure agreement may be requested for eligible projects. Customers should clearly identify confidential files, designs and project information before submission.

Confidentiality does not apply to publicly available information, information already lawfully known, independently developed information, information required by law, or standard factory products and processes.

Product Compliance

The buyer is responsible for confirming whether the products, labels, ingredients, packaging and claims meet the laws of the target market.

Any testing, certification or documentation required for a particular market must be confirmed before ordering. DEDXC will only provide certificates or reports that are genuinely available and applicable to the relevant product.

Website Information

Product images, colors, specifications, packaging and descriptions displayed on the website are for reference. Products may be updated, modified or discontinued without prior notice.

Website information does not replace the final quotation, approved sample, invoice or signed order agreement.

Privacy

Information submitted through quotation forms, sample requests, email or WhatsApp may be used to respond to inquiries, prepare quotations, process samples and orders, arrange shipping, provide customer service, maintain business records, prevent fraud and meet legal obligations.

DEDXC does not sell customer contact information.

Information may be shared with service providers when necessary to process payments, manufacture orders, arrange shipping, maintain the website or comply with legal requirements.

Limitation of Liability

To the extent permitted by applicable law, DEDXC will not be responsible for indirect losses, lost profits, lost sales, reputational loss or business interruption arising from an order, shipment delay or use of the products.

Any direct liability relating to a confirmed claim will not exceed the amount paid for the affected products unless otherwise required by applicable law.

Force Majeure

DEDXC will not be responsible for delay or non-performance caused by events beyond reasonable control, including natural disasters, fire, flood, epidemics, war, government restrictions, customs actions, labor disputes, carrier disruption, power outages, material shortages or major transportation disruption.

The affected party will make reasonable efforts to reduce the impact of the event.

Governing Terms

The applicable company name, governing law, dispute procedure and jurisdiction should be stated in the final sales agreement or website legal notice.
